1. Acceptance of Terms

By creating an account or using PropOps ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service. These Terms constitute a legally binding agreement between you and PropOps ("we," "us," or "our").

We may update these Terms from time to time. Continued use of the Service after changes constitutes acceptance of the new Terms. We will notify you of material changes via email or in-app notice.

4. Subscription & Payments

PropOps offers Free, Starter ($49/month), and Pro ($99/month) plans. Paid plans are billed monthly or annually as selected at signup. All payments are processed by Stripe.

Annual subscriptions receive a 15% discount. Subscriptions renew automatically unless canceled before the renewal date. You may cancel at any time from your account settings; access continues until the end of the current billing period.

We do not offer refunds for partial months or unused features. In cases of billing errors, contact us within 30 days for a review.

5. Tenant Payments & Financial Features

PropOps facilitates online rent collection through Stripe. We are a software platform — we do not hold, transfer, or custodize funds. All payment processing is governed by Stripe's Terms of Service.

You are solely responsible for ensuring rent amounts, due dates, and late fees are accurate and compliant with your local laws. PropOps is not a licensed financial institution, escrow agent, or money transmitter.

6. Service Availability

We aim for high availability but do not guarantee uninterrupted access. The Service is provided "as is" without warranty of any kind. We may perform scheduled maintenance, which we will announce in advance when possible.

We are not liable for losses resulting from downtime, data delays, or service interruptions outside our reasonable control (including third-party provider outages).

7. Data & Content Ownership

You retain ownership of all data you upload to PropOps — property information, tenant records, lease documents, and related content. By using the Service, you grant us a limited license to store and process your data solely to provide the Service to you.

8. Limitation of Liability

To the maximum extent permitted by law, PropOps and its affiliates, officers, employees, and suppliers shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from your use of or inability to use the Service.

Our total liability to you for any claims arising under these Terms shall not exceed the amount you paid us in the 12 months preceding the claim.

9. Indemnification

You agree to indemnify and hold harmless PropOps and its affiliates from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights or applicable laws.

10. Termination

You may close your account at any time from your account settings. We may suspend or terminate your account if you materially breach these Terms, fail to pay fees when due, or engage in conduct harmful to other users or the platform.

Upon termination, your right to access the Service ceases. You may request an export of your data within 30 days of termination. After 30 days, we may delete your data in accordance with our data retention policies.

11. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes shall be resolved by binding arbitration under the rules of the American Arbitration Association, except that either party may seek injunctive relief in court for intellectual property violations.
